AOL Inc.’s Annual Meeting of Stockholders will be held on May 3, 2013 at the Sheraton Inner Harbor, 300 South Charles Street, Baltimore, Maryland 21201, at 9:00 a.m. Eastern Time.
Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.
The Board of Directors recommends that you voteFOR each of the director nominees listed in Proposal (1) andFOR Proposals (2), (3), and (4).
