Explanation of Responses:

1. Represents restricted stock units ("RSUs"). Initially, 16,082 of the RSUs are fully vested on February 22, 2016 and the remainder of the RSUs shall vest ratably over four years on each Quarterly Vesting Date (February 20, May 20, August 20 and November 20 of each year) that is in the same calendar quarter as each quarterly anniversary of February 22, 2016, until the RSUs are totally vested, subject to her continued employment on each such Quarterly Vesting Date.

2. Includes 4,000 shares acquired under the MobileIron, Inc. 2014 Employee Stock Purchase Plan on February 12, 2016.
