Item 12. Results of Operations and Financial Condition.
On February 4, 2004, Brown Shoe Company, Inc. issued two press releases, one announcing, among other things, confirmation of the Company's Fiscal 2003 earnings guidance, and the other announcing retail sales for January 2004 and the fourth quarter of fiscal 2003. Copies of the Press Releases are attached hereto as Exhibit 99.1 and Exhibit 99.2, and each is incorporated herein by reference.
