Explanation of Responses:

1. The reporting person elected to receive, subject to deferral under the Issuer's Non-Employee Directors Deferral Plan, the reported securities in lieu of a cash retainer under the Issuer's Amended and Restated Non-Employee Directors Compensation Plan in respect of his service to the Board of Directors of the Issuer for the fourth calendar quarter of 2017.

2. On June 16, 2017, the Issuer effected a 1-for-15 reverse stock split of its Common Stock. The amount of securities reported in this Form 4 has been adjusted to reflect the reverse stock split.
