Explanation of Responses:

1. On February 26, 2019, the reporting person was granted 3,104 restricted stock units, which shall vest and become earned ratably over three years based on certain performance criteria for each vesting year ending March 15, 2020, 2021, and 2022. The performance criteria for 2022 were met, resulting in 1,035 restricted stock units being earned.

2. On February 24, 2020, the reporting person was granted 3,299 restricted stock units, which shall vest and become earned ratably over four years based on certain performance criteria for each vesting year ending March 15, 2021, 2022, 2023 and 2024. The performance criteria for 2022 were met, resulting in 825 restricted stock units being earned.

3. On July 27, 2020, the reporting person was granted 1,319 restricted stock units, which shall vest and become earned ratably over four years based on certain performance criteria for each vesting year ending March 15, 2021, 2022, 2023 and 2024. The performance criteria for 2022 were met, resulting in 330 restricted stock units being earned.

4. Includes 304.767 shares acquired between January 1, 2021 and December 31, 2021, under the Issuer's 401(k) plan. The information in this report is based on plan statements dated January 1, 2021 through December 31, 2021.
