Explanation of Responses:

1. Each share of Series A Convertible Preferred Stock automatically converted into shares of Common Stock upon the closing of the Issuer's initial public offering for no additional consideration, on a one-for-one basis, and had no expiration date.

2. The shares are held by BCM Advisory Partners LLC (the "LLC"). The Reporting Person is a managing member of the LLC and has voting and investment power with respect to shares held by the LLC.

3. Each share of Series A Convertible Preferred Stock underlying this warrant automatically converted into shares of Common Stock upon the closing of the Issuer's initial public offering for no additional consideration, on a one-for-one basis, and had no expiration date.

4. Immediately exercisable.
