Explanation of Responses:

1. On June 13, 2018, Royal Hawaiian Orchards, L.P. (the "Issuer") conducted a one for 2,000 reverse split of its Class A units, resulting in the number of units owned by the reporting person post-split being equal to the number of pre-split units owned divided by 2,000, less fractional units that were cancelled in the reverse split. The Issuer did not issue fractional units as a result of the reverse split. Units not divisible by 2,000 were cancelled, and in lieu of fractional units, the reporting person is entitled to receive a cash payment of $2.41 for each cancelled unit owned before the reverse split.

2. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all the reported shares for purposes of Section 16 or for any other purpose.
