Explanation of Responses:

1. Represents the conversion upon vesting of restricted stock units ("RSUs") into common stock. On April 1, 2020, the reporting person was granted 1,784 RSUs that were previously reported on Table II of Form 4.

2. Each RSU represents a contingent right to receive one share of the Issuer's common stock.

3. The RSUs vested in one annual installment on April 1, 2021.

4. The RSUs will vest in one annual installment on April 1, 2022.

5. These RSUs were issued to the reporting person pursuant to the R1 RCM Inc. director compensation plan in lieu of retainer fees of $15,000.
