1. Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of Xenith Bankshares, Inc. (the "Company") common stock.

2. The RSUs vest immediately and the shares become non-forfeitable upon vesting. The shares of Company common stock will be delivered to the reporting person on the earliest to occur of (i) a change in control of the Company, (ii) the reporting person's death or (iii) March 15, 2019.
