Explanation of Responses:

1. Represents restricted shares of Common Stock that will vest on December 31, 2022, subject to continued service as a director of the issuer on such date; provided, however, that if a "Change of Control" occurs before December 31, 2022, then a prorated number of the Restricted Shares shall become fully vested effective immediately prior to the effective time of such Change of Control based on the number of calendar days elapsed between January 1, 2022, and the date on which the Change of Control occurs, and the remaining Restricted Shares shall be forfeited to and reacquired by the Company for no consideration.
