These shares are Exchange Shares being acquired by Grigorios Siokas, the Company's CEO, at the Exchange Rate of $0.7712 per share, the fair market value of the Common Stock on January 22, 2025, as an exchange to a total amount of $30,000 the Company owed to Mr. Siokas, pursuant to a debt exchange agreement between him and the Company.
