Item 8.01. Other Events.
On October 30, 2016, New York REIT, Inc. (the “Company”) issued a press release announcing that the Company’s 2016 Annual Meeting of Stockholders (the “Annual Meeting”) to vote on the election of directors and to approve the Company’s proposed plan of liquidation and dissolution (the “Plan of Liquidation”) will be held on December 19, 2016 at a time and location to be determined. Stockholders of record at the close of business on November 10, 2016 will be entitled to vote at the Annual Meeting. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.
In accordance with the Company's bylaws, notice by a stockholder of any nomination or other business to be properly brought before the Annual Meeting by a stockholder pursuant to the Company's bylaws must be delivered by November 9, 2016.
