Explanation of Responses:

1. As previously reported, on July 25, 2016 the reporting person received a grant of 4,118 shares of performance based restricted stock. A portion of the performance metrics were met, therefore a portion of these restricted shares vested on the third anniversary of the date of the remaining shares were automatically forfeited.

2. Includes shares of restricted stock granted pursuant to the Brookline Bancorp, Inc. 2014 Equity Incentive Plan.

3. Reflects ESOP allocations and distributions that have occurred since the date of the reporting person's last ownership report.
