Explanation of Responses:

1. This Form 3/A is filed solely to correct an error in the amount of securities beneficially owned reported in Box 2 of Table I and Box 3 of Table II in the Reporting Person's original Form 3 filed on 4/3/2023. Except as otherwise noted in this footnote, all other information disclosed in the Reporting Person's original Form 3 was accurately reported.

2. Constitute restricted stock units ("RSUs") for which the Reporting Person is entitled to receive one (1) share of Issuer's Class A Common Stock for each RSU upon vesting.

3. The stock option shall vest and become exercisable with respect to 25% of the shares on February 1, 2024 and the remainder in 36 equal monthly installments thereafter, subject to the Reporting Person's continued service to the Issuer.
