Explanation of Responses:

1. Mr. Fuschino is the sole shareholder and director of Friggi N.A. Inc.

2. Mr. Fuschino has been granted 500,000 options every year from 2017 through 2020, each of which is exercisable for two years after the date of grant. The options granted on 12/31/2018 expire on 1/1/2021, and the options granted on 12/31/2019 expire on 1/1/2022. Ownership is reflected as of the filing date of this Form 3.
