Explanation of Responses:

1. Disposed of pursuant to Agreement and Plan of Merger dated as of December 11, 2018, by and among Sparton Corporation, Sparton Parent, Inc. and Striker Merger Sub 2018, Inc. (the "Merger Agreement") in exchange for $18.50 per share in cash, without interest (the "Merger Consideration").

2. Pursuant to the Merger Agreement, each outstanding Restricted Stock Unit vested, was canceled, and converted automatically into the right to receive the Merger Consideration in respect of each share of Common Stock underlying such Restricted Stock Unit.
