Item 1.01. Entry into a Material Definitive Agreement.
On November 3, 2015, the Conflicts Committee of the Board of Directors of Phillips Edison Grocery Center REIT I, Inc. approved the renewal of the advisory agreement with Phillips Edison NTR LLC for an additional one year period through December 3, 2016. There were no other changes to the terms of the advisory agreement in connection with its renewal.
