Explanation of Responses:

1. Represents shares withheld to pay tax withholding obligations in connection with the vesting of restricted stock.

2. Price based on closing price of Cobalt International Energy, Inc. common stock on February 16,2018.

3. On June 16, 2017, the Issuer effected a 1-for-15 reverse stock split of its Common Stock. The amount of securities reported in this Form 4 has been adjusted to reflect the reverse stock split.

4. These shares were purchased on behalf of the reporting person's minor child. The reporting person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein.
