Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On February 5, 2025, in recognition of Michelle Zatlyn’s continuing leadership and contribution to the growth of Cloudflare, Inc. (the “Company”), the Board of Directors of the Company (the “Board”) appointed Ms. Zatlyn as Co-Chair of the Board. After this appointment, Ms. Zatlyn and Matthew Prince, the Company’s Chief Executive Officer, are each Co-Chairs of the Board. Ms. Zatlyn continues in her existing role as President of the Company but her title no longer includes Chief Operating Officer. Her current role and operational responsibilities within the Company remain unchanged.
