Explanation of Responses:

1. On August 15, 2017, the reporting person was granted 50,000 performance restricted stock units. Each performance restricted stock unit represents the right to receive, at settlement, one share of REGI common stock. This transaction represents the settlement of performance restricted stock units in shares of REGI common stock based on the attainment of the applicable adjusted EBITDA target for 2018 as described in the Reporting Person's employment agreement.
