Item 8.01 Other Events.
On February 19, 2020, ContraFect Corporation (the “Company”) received a letter (“Letter”) from The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that (a) the Company’s common stock had a closing bid price of at least $1.00 for a minimum of 10 consecutive business days, from February 4, 2020 to February 18, 2020, and (b) it has regained compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market (the “Bid Price Rule”).
On February 20, 2019, the Company had received a letter from Nasdaq indicating that, for the last thirty consecutive business days, the bid price for the Company’s common stock had closed below the minimum $1.00 per share requirement set forth in the Bid Price Rule. To regain compliance, the Company’s common stock needed to have a closing bid price of at least $1.00 for a minimum of 10 consecutive business days. As the Letter indicated, since compliance has been regained, the matter is now closed.
