Explanation of Responses:

1. This annual award in the form of restricted stock units was granted under the Vapotherm, Inc. 2018 Equity Incentive Plan pursuant to the terms of the Vapotherm, Inc. Amended and Restated Non-Employee Director Compensation Policy. The restricted stock units are eligible to vest in full on the earlier of the first anniversary of the date of grant or the Issuer's 2022 annual meeting of stockholders, subject to the Reporting Person's continued service as a director of the Issuer through the vesting date.

2. Includes 5,392 shares that will be issued over time subject to restricted stock units granted under the Vapotherm, Inc. 2018 Equity Incentive Plan.
