Explanation of Responses:

1. These shares were acquired by Mr. Browne under the Issuer's 2014 Employee Stock Purchase Plan (the "Plan") on June 29, 2018 in a transaction that was exempt under both Rule 16b-3(d) and Rule 16b-3(c). Mr. Browne purchased the maximum number of shares allowable under the Issuer's Plan and Internal Revenue Code Section 423(b)(8) for 2018.

2. These shares are held by the Dan and Brenda Browne Living Trust. Mr. Browne is a Trustee of the Dan and Brenda Browne Living Trust.
