Explanation of Responses:

1. Award of Class A Common Stock pursuant to the 2016 Ecology and Environment, Inc. Stock Award Plan

2. On October 11, 2018 the Issuer entered into an agreement with Marshall A. Heinberg (the "Reporting Person") whereby the Reporting Person was granted a stock award of $80,000 of the Issuer's Class A Common Stock (pursuant to the 2016 Ecology and Environment, Inc. Stock Award Plan) to be granted over a period of one year on a monthly basis effective as of September 18, 2018. The Reporting Person's stock award is subject to a monthly prorated offset against a total of 2,510 shares yet to accrue between September 18, 2018 and April 18, 2019. As of June 28, 2019, 2,791 shares of Class A Common Stock have accrued to the Reporting Person.
