Explanation of Responses:

1. On October 25, 2017, the reporting person transferred his interest in these shares to an irrevocable trust for the benefit of his spouse and their children (the "Trust"). The reporting person is the grantor for the Trust. The Trust has an independent trustee.

2. On October 25, 2017, the reporting person transferred his interest in these Class A Units to the Trust.

3. Represents Class A Units ("Class A Units") of Preferred Apartment Communities Operating Partnership, L.P., of which Preferred Apartment Communities, Inc. (the "Company") is the general partner. Each Class A Unit may be exchanged for one share of the Company's common stock, or cash, as selected by the Company. Class A Units have no expiration date.
