Explanation of Responses:

1. The reported transaction reflects the grant of Restricted Stock Units under the Issuer's 2014 Omnibus Award Plan and represents a like number of shares of the Issuer's common stock. These Restricted Stock Units vest in three equal installments on September 11, 2020, September 10, 2021, and September 12, 2022. Upon vesting these Restricted Stock Units will settle in shares of the Issuer's common stock.
