ITEM 8.01 OTHER EVENTS
The board of directors of KBS Real Estate Investment Trust III, Inc. (the “Company”) has approved management’s recommendation to explore strategic alternatives in an effort to provide ongoing and increased liquidity to its stockholders. One of these strategic alternatives could be a potential conversion of the Company into an “NAV REIT,” which is a term generally used to describe a REIT that values its shares as often as daily but at least quarterly on a net asset value (“NAV”) basis and provides increased capacity to repurchase shares through its share redemption program. In addition to providing enhanced liquidity to the Company’s stockholders, the Company anticipates such a conversion would result in further growth of the Company. Although the board of directors has approved management’s recommendation to explore strategic alternatives for the Company, the Company is not obligated to pursue any particular transaction or any transaction at all. Even if the board of directors decides to pursue a particular strategy, there is no assurance that the Company will successfully implement its strategy. This Current Report on Form 8-K does not constitute an offer to sell the Company’s common stock.
