| 1. Represents shares withheld to satisfy tax withholding obligations in connection with the acceleration following the Confirmation Date of certain restricted stock awards in connection with the change in control event that will occur on the effective date of the Plan (as defined below). |
| 2. On September 30, 2020, Oasis Petroleum Inc. ("Oasis") and certain of its affiliates commenced voluntary cases under Chapter 11 of the U.S. Bankruptcy Code in the U.S. Bankruptcy Court for the Southern District of Texas (the "Bankruptcy Court"). On November 10, 2020 (the "Confirmation Date") the Bankruptcy Court entered an order confirming the Joint Prepackaged Chapter 11 Plan of Reorganization of Oasis and its Debtor Affiliates (as amended, modified or supplemented from time to time, the "Plan"). |
| 3. On the effective date of the Plan, these shares of Oasis common stock will be canceled and extinguished in accordance with the Plan, and the Reporting Person will receive warrants to purchase shares of outstanding common stock, par value $0.01 per share, of Oasis, pursuant to and under the Plan. |
