Explanatory Note

Oasis Petroleum Inc. (the “Company”) is filing this Amendment No. 1 on Form 8-K/A to correct a typographical error contained in two exhibits included with the Company’s Current Report on Form 8-K filed on January 21, 2021 (the “Original Filing”). Specifically, the typographical error was contained in the form of Notice of Grant for the Relative Total Shareholder Return Performance Shares (Exhibit 99.6) and the form of Notice of Grant for the Absolute Total Shareholder Return Performance Shares (Exhibit 99.7). No other corrections are being made hereby. This Form 8-K/A speaks as of the original filing date of the original Filing, does not reflect events that may have occurred subsequent to the original filing date and does not modify or update in any way disclosures made in the Original Filing, except as otherwise set forth in this Form 8-K/A.
