Item 8.01.  Other Events

On November 5, 2012, XMRJ LLP (“XMRJ”) agreed to invest RMB10,000,000 , or approximately US$1,600,000, in Hubei Tianzhili Breeder Hog Co., Ltd. (“Tianzhili”).  Tianzhili is the wholly-owned subsidiary of Wuhan Fengze Agricultural Science & Technology Development Co., Ltd., the Registrant’s variable interest entity in China. Tianzhili conducts the Registrant’s black hog breeding operations.  In consideration for its investment, XMRJ received a 40% equity interest in Tianzhili.

In connection with its investment in Tianzhili, XMRJ loaned RMB 5,000,000, or approximately US$800,000, to Tianzhili interest free for a loan term of no less than one year.

XMRJ is a Limited Partner Enterprise formed under Chinese law that engages in equity investments in China.
