AMENDMENT

TOTHE$400,000PROMISSORYNOTEDATEDSeptember25,2013

Thepartiesagreethatthe$400,000PromissoryNote(the"Note")byandbetweenCo-Signer,Inc.(the"Borrower")and JMJ Financial (the"Lender")ishereby amended as follows:

1. Payment.TheLendershallmakeapaymenttotheBorrowerof$40,000ofConsiderationundertheNoteon or before April16,2014.

2. IndependentTransactions.TheBorrowerunderstandsandagreesthattheNotesetsforththetermsforaseriesof independenttransactionsinwhichtheLendermayelectto makea payment of ConsiderationtotheBorrowerwitheach paymentof Considerationcreatingaseparateobligationofthe BorrowertotheLenderwiththetermssetforthintheNote. Accordingly,theMaturity Dateofeachpayment ofConsiderationandtherepayment terms foreachpaymentofConsideration,areas set forth intheNote.

3. Nevada. TheBorroweracknowledgesthattheLenderhasbecomeaNevadasoleproprietorship.Inrecognitionof this,andbecauseof the cashpaymentbeing made to the Borrower pursuant toSectionIofthisAmendment, the Borrower agrees char thefirstsentenceofSection 11 of theNoteshallbeamendedbyreplacingtheword"Florida"with theword "Nevada."ThewordFloridashallnotbereplaced inany other placeinSection 11.Thischangeto Section1 1shallapply toall actions commenced after thedateofthisAmendmentregardlessof whether theevent orevents thatgaveriseto thecause of action,includingthe closingofthe Noteand any past or futurepaymentsof Consideration, occurred beforeorafterthedate ofthisAmendment.
