Item 8.01. Other Events.

Air Lease Corporation (the “Company”) was named as a defendant in a complaint filed in Superior Court of the State of California for the County of Los Angeles on April 24, 2012 by American International Group, Inc. and International Lease Finance Corporation.  The complaint also names as defendants certain executive officers and employees of the Company.  Among other things, the suit alleges breach of fiduciary duty and misappropriation of trade secrets.  The complaint seeks an unspecified amount of damages.  The Company believes that it has meritorious defenses to these claims and intends to defend this matter vigorously.
