1. Includes shares acquired through the reinvestment of dividends.

2. $47.357 is the weighted average sales price. These shares were sold in multiple transactions at prices ranging from $47.00 to $47.615. The Reporting Person undertakes to provide upon request by the staff of the Securities and Exchange Commission, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote 2 to this Form 4.

3. Shares held for the reporting person's son under the Uniform Gifts to Minor Act. The reporting person disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission that the reporting person is the beneficial owner of these shares for purposes of Section 16 or for any other purpose.
