(the “Company”). These shares include 25,253,655 shares of common stock underlying convertible preferred stock and warrants issued and sold to 25 accredited investors in a private placement offering (the Series C Private Placement) including shares issuable upon PIK dividends, 8,232,630 shares of common stock issued to investors in certain of the Company’s prior private placement offerings (the Make-Whole Shares) and 80,000 shares of common stock underlying warrants issued to one of the Company’s service providers.
