Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective March 1, 2019, the Board of Directors of FISION Corporation, a Delaware corporation (“FISION”) appointed Daniel Dorsey, age 42, as Chief Financial Officer and as a director of FISION to serve on its Board of Directors until the next regular meeting of shareholders or until his successor is elected and shall qualify. Mr. Dorsey’s past corporate experience includes many years serving as a key executive and/or financial officer for leading public companies.
Mr. Dorsey is currently the partner of Capital Market Solutions where he is primarily involved with creating strategic initiatives with companies ranging from legacy media enterprises to digital start-ups. Prior thereto, he was Vice President and Corporate Controller of Rodale, Inc., an American publisher of health and wellness magazines, books, and digital properties.
Mr. Dorsey also served as the Chief Financial Officer of Hudson News Distributors, LLC, the second largest distributor of magazines and books in the USA. Mr. Dorsey has also served as the Senior Vice President and Corporate Controller of the Tribune Publishing Company (now tronc, Inc, (NASDAQ: TRNC). His extensive past accounting/auditing career also included being employed as a Certified Public Accountant (CPA) for PriceWaterhouseCoopers LLP.
Effective February 28, 2019, Garry Lowenthal will no longer be the Chief Financial Officer (CFO) of FISION Corporation, and will transition into a non-officer role within the company and will also step down from the Board of Directors of FISION Corporation.
As of March 1, 2019, the company’s Board of Directors will be comprised of three members, with one serving as an independent director under the rules of FINRA, the SEC, and all national stock exchanges.
