Item 8.01 Other Events.
Fision Corporation (the “Company”) will be relying on the Securities and Exchange Commission’s Order under Section 36 of the Securities Exchange Act of 1934 Granting Exemptions From Specified Provisions of the Exchange Act of 1934 and Certain Rules Thereunder dated March 4, 2020 (Release No. 34-88318) (the “Original Order”), and subsequently dated March 25, 2020 (Release No. 34-88465) (the “Order”) to delay the filing of its Quarterly Report on Form 10-Q for the period ended March 31, 2020 (the “Report”) due to the circumstances related to COVID-19. In particular, COVID-19 has caused severe disruptions in client support, development and limited access to the Company’s facilities resulting in limited support from its staff and professional advisors. This has, in turn, delayed the Company’s ability to complete and prepare the Quarterly Report. Notwithstanding the foregoing, the Company expects to file the Report for the period ended March 31, 2020 no later than June 29, 2020 (which is 45 days from the Report’s original filing deadline of May 15, 2020).
In light of the current COVID-19 pandemic, the Company will be including the following Risk Factor in its Report:
An occurrence of an uncontrollable event such as the COVID-19 pandemic may negatively affect our operations.
A significant portion of the Company’s business operations are contracted in certain indepdentent contractors currently on “lock-down” orders or “shelter in place” recommendations for the national health crisis, including key personnel responsible for assisting the Company in the development of its financial statements. As a result of the travel and work restrictions stemming from the COVID-19 pandemic, the Company is unable to obtain financial records that it needs from its operations to permit the Company to file a timely and accurate Quarterly Report on Form 10-Q for its period ended March 31, 2020 by the prescribed date without undue hardship and expense to the Company.
