Explanation of Responses:

1. Reflects shares of common stock, par value $0.01 per share of Amplify Energy Corp. (the "Company") granted upon settlement of previously awarded restricted stock units with service-based vesting conditions ("TSUs").

2. These TSUs were granted under the Amplify Energy Corp. Equity Incentive Plan. Such TSUs were scheduled to vest on July 1, 2024 so long as the reporting person remained a member of the board of directors of the Company (the "Board") through the vesting date. In connection with Mr. Klein's resignation from the Board on May 15, 2024, the vesting of the TSUs was accelerated.
