Explanation of Responses:

1. These shares represent restricted stock units ("RSUs") and will be settled in common stock upon vesting. The RSUs vest as to 100% of the underlying shares on September 11, 2020 (the "Vesting Date"), subject to the Reporting Person's continued service relationship with the Issuer on the Vesting Date.

2. Includes 11,250 RSUs and will be settled in common stock upon vesting. The RSUs vest in three successive, equal, annual installments measured from March 1, 2020, subject to Reporting Person's continued service relationship with the Issuer on each such vesting date.

3. Includes 9,375 RSUs and will be settled in common stock upon vesting. The RSUs vest in four successive, equal, annual installments measured from March 1, 2019, subject to Reporting Person's continued service relationship with the Issuer on each such vesting date.

4. Includes 21,492 RSUs and will be settled in common stock upon vesting. The RSUs vest in four successive, equal, annual installments measured from March 1, 2018, subject to Reporting Person's continued service relationship with the Issuer on each such vesting date.
