Item 8.01 Other Events.
On September 11, 2012, Customers Bancorp, Inc., parent company for Customers Bank, announced its intention to increase the aggregate offering amount of its current private offering of common stock from approximately $50 million to up to $85 million. Offers and sales in this private offering will be made in reliance upon exemptions from registration pursuant to Section 4(2) of the Securities Act of 1933, as amended, and Regulation D promulgated thereunder.
The shares of common stock issued will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. This announcement is neither an offer to sell nor the solicitation of an offer to buy the shares of common stock or any other securities and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offering, solicitation or sale would be unlawful.
