Item 7.01 Regulation FD Disclosure
On December 9, 2020, Customers Bancorp, Inc. (“Customers Bancorp”), the parent company of Customers Bank and its operating division BankMobile (collectively “Customers”), issued a press release announcing that its Board of Directors has set December 18, 2020 as the record date for its previously announced conditional special distribution to be made to Customers Bancorp shareholders in connection with the pending transaction between Customers and Megalith Financial Acquisition Corp. (“Megalith”). The press release contains certain information about the distribution, including the conditions precedent to the distribution, the restrictions on trading of the Megalith shares received in the distribution and the expected tax treatment of the distribution to shareholders of Customers Bancorp. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated herein by reference.
