Explanation of Responses:

1. Prior to the beginning of the year, the reporting person elected to receive partial payment in common stock in lieu of cash for his annual retainer, which retainer is paid in quarterly installments. The number of shares issued was calculated based on $93.50, which is the average of the daily closing prices of the issuer's shares over the applicable quarter.

2. Includes restricted stock units ("RSUs") granted pursuant to the issuer's long-term incentive plan, including 1,860 granted on May 18, 2023 that vest on May 18, 2024.
