FINAL AMENDMENT TO TENDER OFFER STATEMENT
This Amendment No. 1 supplements and amends the Tender Offer Statement on Schedule TO (the “Original Filing”) filed with the U.S. Securities and Exchange Commission (“SEC”) on December 23, 2015 by Business Development Corporation of America, an externally managed, non-diversified, closed-end management investment company that has elected to be treated as a business development company under the Investment Company Act of 1940 and is incorporated in Maryland (the “Company”), in connection with the offer by the Company to purchase up to 3,053,869 shares of its issued and outstanding common stock (the “Shares”) (which number represents approximately 2.5% of its weighted average number of shares of common stock outstanding for the calendar year ended December 31, 2014). Such offer was made upon and subject to the terms and conditions set forth in the Offer to Purchase, dated December 23, 2015, and the related Letter of Transmittal (together, the “Offer”). The Offer terminated at 11:59 P.M., Eastern Time, on January 25, 2016, and a total of approximately 7,375,871 Shares were validly tendered and not withdrawn pursuant to the Offer. In accordance with the terms of the Offer, the Company purchased on a pro rata basis the maximum of 3,053,869 Shares validly tendered and not withdrawn at a price equal to $9.22 per Share (an amount equal to the Company’s net asset value per Share as of September 30, 2015) for an aggregate purchase price of approximately $28,156,672.
