Explanation of Responses:

1. The transaction reported reflects the cash settlement of a fractional share in connection with the vesting of restricted stock units. The restricted stock units were granted to the reporting person on May 31, 2018 pursuant to the company's 2017 Stock Incentive Plan in accordance with the company's compensation program for non-employee directors and vested, in full, on May 31, 2019, together with accrued dividend equivalent units.

2. The transaction reported was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person to satisfy tax obligations upon the vesting of restricted stock units, as described in Note (1).
