We have acted as Maryland corporate counsel to the Company in connection with the registration by the Company of the Company Debt Securities, shares of Common Stock, shares of Preferred Stock, Depositary Shares, Warrants, Rights, Units and Guarantees (collectively, the “Company Securities”) and the registration by the Operating Partnership of the OP Debt Securities (the OP Debt Securities together with the Company Securities, each a “Security” and, collectively, the “Securities”) under the Securities Act of 1933, as amended (the “Act”), on Form S-3, filed or to be filed by the Company and the Operating Partnership with the Securities and Exchange Commission (the “Commission”) on or about the date hereof (the “Registration Statement”). Based on the foregoing, and subject to the assumptions and qualifications set forth herein, it is our opinion that:
