Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 13, 2020, Nielsen Holdings plc (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) disclosing that the Board of Directors (the “Board”) of the Company appointed each of Mr. Thomas H. Castro and Ms. Janice Marinelli Mazza as a member of the Board, effective February 18, 2020. Committee assignments for Mr. Castro and Ms. Marinelli Mazza were not determined as of the filing of the Original 8-K.
On March 25, 2020, effective immediately, the Board appointed Mr. Castro to the Nomination and Corporate Governance Committee of the Board and Ms. Marinelli Mazza to the Compensation Committee of the Board.
