On August 21, 2012, the Board of Directors of Naugatuck Valley Financial Corporation (the “Company”) concluded that a write down of approximately $5.3 million related to five previously-classified commercial loans in the loan portfolio of Naugatuck Valley Savings and Loan (the “Bank”), the Company’s wholly-owned subsidiary, is required under U.S. generally accepted accounting principles. The Board of Directors determined that the write down is required following its analysis of the conclusions and recommendations of the Bank’s management following a recently completed review of the loans. As of the date of this Current Report, the Board of Directors does not anticipate that the write down will result in any significant future cash expenditures by the Company other than normal collection-related costs. (b) On August 23, 2012, Lee R. Schlesinger delivered to Naugatuck Valley Financial Corporation (the “Company”) and its wholly-owned subsidiary, Naugatuck Valley Savings and Loan (the “Bank”), written notice of his resignation as Senior Vice President and Chief Financial Officer of the Company and the Bank effective September 28, 2012.
