Represents a grant of Restricted Stock Units ("RSUs"), which will be settled in shares of the Issuer's common stock upon vesting: 25% of the RSUs (rounded down to the nearest whole number) to become vested every three months measured from May 7, 2022, with the remainder to become vested on May 7, 2023, such that the RSUs become 100% vested on May 7, 2023.
