Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 15, 2013, Mr. Vigars Kaktinieks submitted his resignation as a director of Solarflex Corp. (the "Registrant"). Mr. Kaktinieks informed the Registrant that the reason for his resignation was the increasing time his other business obligations require, resulting in his inability to devote the time necessary to serve as a director of the Registrant. At the date of his resignation, there were no disagreement with the Registrant relating to its operations, policies, or practices. Mr. Kaktinieks' letter of resignation is attached as Exhibit 17 hereto.
