| 1. (1) Represents an award of common stock in settlement of the Annual Compensation Award (the "Agreement") granted as of June 4, 2024. The Board of Directors (the "Board") determined to (i) accelerate the vesting of the award in connection with Mr. Carlock's resignation from the Board and (ii) settle the award in common stock instead of cash pursuant to the terms of the Agreement. Such shares were issued under the Forward Air Corporation Amended and Restated Non-Employee Director Stock Plan in a transaction exempt from Section 16(b) under Rule 16b-3. |
