1. Each restricted stock unit ("RSU") is equivalent to one share of common stock upon vesting.

2. On February 21, 2020, the reporting person was granted 5,450 restricted stock units, vesting in three equal annual installments beginning on the first anniversary of the grant date, subject to the reporting person continuing to be employed by the registrant through each such date.

3. On February 21, 2020, the reporting person was granted 20,420 stock options. These options vest and become exercisable in three equal annual installments beginning on the first anniversary of the grant date, subject to the reporting person continuing to be employed by the registrant through each such date.
